This thesis explores the negotiated resolution of crises (CNC) in the Italian legal framework, introduced through the Business Crisis and Insolvency Code (CCII) in response to EU Directive 2019/1023. After examining the directive’s goals and its implementation in key member states (France, Germany, and Spain), the research focuses on the Italian system, emphasizing preventive mechanisms. The CNC process is analyzed in depth, including access conditions, involved actors (entrepreneur, independent expert, creditors), financial distress indicators, protective measures, and their effects on operational management. The final part presents an empirical case study, aimed at evaluating the practical effectiveness of the CNC. Additionally, the thesis will investigate the main crisis factors across the different stages of the corporate lifecycle, to understand how vulnerability changes over time and how CNC can respond to each phase accordingly.
La tesi approfondisce il tema della composizione negoziata della crisi (CNC) nel contesto italiano, come strumento introdotto dal Codice della Crisi d’Impresa e dell’Insolvenza (CCII) in recepimento della Direttiva UE 2019/1023. Dopo aver esaminato gli obiettivi della direttiva europea e i modelli di recepimento nei principali Paesi membri (Francia, Germania e Spagna), l’elaborato analizza la disciplina italiana con particolare attenzione agli strumenti di prevenzione della crisi. Viene analizzato il funzionamento della CNC: i requisiti di accesso, gli attori coinvolti (imprenditore, esperto indipendente, creditori), gli indicatori di squilibrio, le misure protettive e l’impatto sulla gestione operativa. La parte finale della tesi è dedicata all’analisi empirica del caso, con l’obiettivo di valutare l’efficacia dello strumento nella prassi. Inoltre, sarà sviluppata un’analisi dei principali fattori di crisi nei diversi stadi del ciclo di vita aziendale, al fine di comprendere come la vulnerabilità dell’impresa possa variare nel tempo e come la CNC possa adattarsi alle diverse fasi.
