The corporate governance structure adopted by companies differs between different countries. The objective of this paper is to analyze the characteristics of the Canadian governance model. The first chapter traces the evolution of the guidelines and legislation over time, then presenting the main organizations and institutions operating in Canada. The second chapter describes the Anglo-Saxon capitalist model and the distinctive features of the Canadian model, focusing on the ownership and governance structure. In particular, an analysis of Canadian listed companies is carried out in order to examine the characteristics of the board of directors, which plays a fundamental role. The third chapter illustrates a case study, proceeding with the analysis of one of the most important North American companies operating in the energy sector, TC Energy Corporation, with the aim of examining the characteristics of its governance model.
La struttura di corporate governance adottata dalle imprese differisce tra i diversi paesi. L’obiettivo di questo elaborato è di analizzare le caratteristiche del modello di governance canadese. Il primo capitolo percorre l’evoluzione delle linee guide e della normativa nel tempo, presentando poi le principali organizzazioni e istituzioni che operano in Canada. Il secondo capitolo descrive il modello capitalistico anglosassone e i tratti distintivi del modello canadese, concentrandosi sull’assetto proprietario e di governo. In particolare, si svolge un analisi delle società quotate canadesi al fine di esaminare le caratteristiche del consiglio di amministrazione, che ricopre un ruolo fondamentale. Il terzo capitolo illustra un caso studio, procedendo all’analisi di una delle più importanti società nordamericane operante nel settore energetico, TC Energy Corporation, con l’obiettivo di esaminare le caratteristiche del suo modello di governance.
