The dissertation aims to analyze the role of mergers and acquisitions (M&As) in shaping the current Italian eyewear industry and their contribution to the worldwide recognition of Italian excellence in eyewear design and manufacturing. The Italian eyewear sector has undergone significant changes due to the entry of major players, such as Kering Eyewear and LVMH Thélios, which have revolutionized the licensing mechanism, a pillar of Italian eyewear firms. As a vehicle for growth, Mergers and acquisitions can now constitute a viable alternative in the new competitive context. In Chapter I, an introductory theoretical background on companies’ growth and various growth strategies is provided, focusing on their strategic opportunities and weaknesses, with a particular focus on the synergies that arise from acquisitions. In Chapter II, an analysis of the eyewear market is presented, including the competitive forces at play, key issues, top players, and the licensing mechanism, which is a key source of revenue streams for eyewear companies and highly strategic to their business models. From these premises, as well as from the literature identified, Chapter III analyzes the recent experiences of the Safilo Group to determine the contribution that Mergers and acquisitions have brought to industry development and the strategic responses to moments of crisis of one of the most historically relevant Italian eyewear companies.
La tesi si propone di analizzare il ruolo delle operazioni di Mergers and Acquisitions (M&A) nel plasmare l'attuale industria italiana dell'occhialeria e il loro contributo al riconoscimento mondiale dell'eccellenza italiana nel design e nella produzione di occhiali. Il settore italiano dell'occhialeria ha recentemente subito cambiamenti significativi, con l'ingresso di grandi attori come Kering Eyewear e LVMH Thélios, che hanno rivoluzionato il meccanismo delle licenze, pilastro delle aziende italiane. In quanto veicolo di crescita, le fusioni e le acquisizioni possono ora costituire una valida alternativa nel nuovo contesto competitivo. Nel Capitolo I viene fornito un background teorico introduttivo sulla crescita delle aziende’ e sulle varie strategie di crescita, concentrandosi sulle loro opportunità strategiche e debolezze, con particolare attenzione alle sinergie che derivano dalle acquisizioni. Nel Capitolo II viene presentata un'analisi del mercato degli occhiali, comprese le forze competitive in gioco, le questioni chiave, i principali attori e il meccanismo di licenza, che rappresenta una fonte fondamentale di flussi di entrate per le aziende di occhiali ed è altamente strategico per i loro modelli di business. Partendo da queste premesse, nonché dalla letteratura individuata, il Capitolo III analizza le recenti esperienze del Gruppo Safilo per determinare il contributo che le operazioni d M&A hanno apportato allo sviluppo del settore e le risposte strategiche ai momenti di crisi di una delle aziende italiane di occhiali storicamente più rilevanti.
