This thesis examines holding companies as tools for coordination and management within corporate groups, highlighting their advantages, challenges, and the role of internal communication. After defining the main types of holdings, the study explores benefits in strategic, fiscal, and organizational terms, alongside limitations such as costs, bureaucratic requirements, and control responsibilities. Special attention is given to communication flows between parent companies and subsidiaries. The analysis is supported by an internship experience at “studio Cenedese”, which provided direct insights into the dynamics between holdings and their subsidiaries. The conclusions emphasize that, if well managed, holdings can represent an effective and sustainable organizational model, while requiring careful governance and strong internal communication.
L’elaborato analizza le holding come strumenti di coordinamento e gestione nei gruppi societari, mettendo in luce vantaggi, criticità e il ruolo della comunicazione interna. Dopo una definizione delle principali tipologie, vengono approfonditi i benefici in termini strategici, fiscali e patrimoniali, insieme ai limiti legati a costi, oneri burocratici e responsabilità del controllo. Particolare attenzione è dedicata ai flussi comunicativi tra capogruppo e controllate. L’analisi è integrata dall’esperienza di tirocinio presso lo studio Cenedese, che ha permesso di osservare le dinamiche tra holding e società partecipate. Le conclusioni evidenziano come, se ben gestite, le holding possano costituire un modello organizzativo efficace e sostenibile, pur richiedendo un’attenta governance e una comunicazione interna solida.
