This thesis analyses the assignment of receivables by way of security (also known as cessio in securitatem), an atypical form of real security that is widely used in practice, especially in the field of corporate lending. Specifically, the first chapter examines the essential features of the legal framework governing the assignment of claims (Articles 1260-1267 of the Italian Civil Code), with specific attention to the assignment of future claims. The second chapter is devoted to the study of the assignment of receivables by way of security, focusing on its contractual structure and its compatibility with the prohibition of the pactum commissorium under Article 2744 of the Italian Civil Code, in light of doctrinal and case law orientations. Finally, the third chapter proposes a comparison with related legal arrangememts, also frequently encountered in banking practice, such as assignment for payment purposes (Article 1198 of the Italian Civil Code), pledge of claims (Article 2803 of the Italian Civil Code), and mandate to collect, also with regard to insolvency law.
La presente tesi analizza la cessione del credito con causa di garanzia (o cessio in securitatem), forma di garanzia reale atipica piuttosto diffusa nella prassi, soprattutto nel settore del credito all’impresa. In particolare, nel primo capitolo vengono esaminati i tratti essenziali della disciplina della cessione del credito (artt. 1260-1267 c.c.), con particolare attenzione alla cessione dei crediti futuri. Il secondo capitolo è dedicato allo studio della cessione del credito con causa di garanzia, soffermandosi sulla sua struttura negoziale e sulla sua compatibilità con il divieto del patto commissorio di cui all’art. 2744 c.c., alla luce degli orientamenti dottrinali e giurisprudenziali. Infine, il terzo capitolo propone un confronto con le fattispecie affini, anch’esse di frequente riscontro nella prassi bancaria, quali la cessione con funzione solutoria (art. 1198 c.c.), il pegno di crediti (art. 2803 c.c.) e il mandato all’incasso, anche con riguardo alla disciplina concorsuale.
