This work analyses the compatibility of divestment clauses typical of Venture Capital agreements — including put and call options at a predetermined price, liquidation preferences, and drag-along clauses — with the prohibition of the pactum leoninum under Article 2265 of the Italian Civil Code, within the framework of Italian company law. Starting from a reconstruction of the economic phenomenon of Venture Capital and the structural asymmetries characterising the relationship between the investor-shareholder and the entrepreneur-shareholder, the work examines the evolution of the Italian Supreme Court's case law — from judgment no. 8927/1994 through to the revirement operated by order no. 17498/2018, and in light of the French experience between the Bowater and Belkhelfa decisions — demonstrating how such evolution has produced, according to part of the legal academia, a "teleological reduction" of the prohibition. This narrowing of the scope of the pactum leoninum prohibition, in the context of these divestment transactions, would undermine a protective safeguard for the shareholder who, at the negotiation stage, finds himself in a position of economic necessity — namely, the entrepreneur-shareholder. An analysis of the remaining ex post remedies, ranging from abuse of rights to the exceptio doli generalis, set against those available in other legal systems — including the entire fairness doctrine under Delaware law and the Dutch enquêterecht — suggests the need for legislative intervention to ensure more accessible protective instruments that impose a less onerous burden of proof.

Il presente lavoro si propone di analizzare la compatibilità delle clausole di disinvestimento tipiche degli accordi di Venture Capital (tra cui opzioni put e call a prezzo predeterminato, le liquidation preference e le clausole di drag-along) con il divieto di patto leonino ex art. 2265 c.c., nel contesto del diritto societario italiano. Partendo dalla ricostruzione del fenomeno economico del Venture Capital e delle asimmetrie strutturali che caratterizzano il rapporto tra socio-finanziatore e socio-imprenditore, si analizzerà l'evoluzione giurisprudenziale di legittimità (dalla sentenza n. 8927/1994 fino al revirement operato dall'ordinanza n. 17498/2018, e alla luce dell'esperienza francese tra la sentenza Bowater e Belkhelfa), dimostrando come tale evoluzione abbia prodotto, secondo parte della dottrina, una "riduzione teleologica" del divieto. Tale restrizione del campo di applicazione del divieto di patto leonino nel contesto di queste operazioni di disinvestimento, snaturerebbe un presidio di tutela del socio che, in fase di contrattazione, si trova in stato di necessità (il socio-imprenditore). L'analisi dei rimedi ex-post rimanenti, dall'abuso del diritto all'exceptio doli generalis, comparati a quelli previsti da altri ordinamenti – tra cui l'entire fairness del Delaware (USA) e l'enquêterecht olandese – suggerisce la necessità di un intervento legislativo che garantisca strumenti di tutela più accessibili e meno gravosi sul piano probatorio.
