This thesis examines the topic of negotiated crisis settlement through the analysis of a practical case involving a limited liability company operating in the manufacturing sector. The paper focuses on the economic and financial difficulties that arose following a decline in orders, an increase in production costs, and the accumulation of debts towards banks, suppliers, tax authorities, and social security institutions. The aim is to examine how negotiated crisis settlement can represent a useful tool for supporting business recovery, allowing the company to continue its operations and start negotiations with creditors. Particular attention will be paid to the recovery plan, protective measures, and the sustainability of prospective cash flows, in order to assess whether business continuity may represent a more effective alternative to liquidation. The thesis therefore aims to highlight the role of negotiated crisis settlement as a tool for the early detection of business distress and for the protection of companies that still have reasonable prospects of recovery.
La tesi analizza il tema della composizione negoziata della crisi d’impresa attraverso lo studio di un caso pratico riguardante una società a responsabilità limitata operante nel settore manifatturiero. L’elaborato si concentra sulle difficoltà economico-finanziarie emerse a seguito della riduzione degli ordinativi, dell’aumento dei costi di produzione e dell’accumulo di debiti verso banche, fornitori, Erario ed enti previdenziali. L’obiettivo è esaminare come la composizione negoziata possa rappresentare uno strumento utile per favorire il risanamento dell’impresa, consentendo la prosecuzione dell’attività aziendale e l’avvio di trattative con i creditori. Particolare attenzione sarà dedicata al piano di risanamento, alle misure protettive e alla sostenibilità dei flussi finanziari prospettici, al fine di valutare se la continuità aziendale possa costituire un’alternativa più efficace rispetto alla liquidazione. La tesi intende quindi evidenziare il ruolo della composizione negoziata come strumento di emersione anticipata della crisi e di tutela dell’impresa ancora potenzialmente risanabile.
