The thesis analyzes the limits and potential evolution of the concept of the fiduciary agreement in the Italian legal system. To this end, it begins with a historical introduction to the institution, examining its antecedents in Roman law and medieval law. It then focuses on the concept of fiduciary agreement. The dedicated section examines, through a dialectical approach, the main critical issues raised by legal scholars regarding the institution, proposing alternatives and solutions. In particular, it addresses the following issues: disproportion between means and end, abuse of power, fiduciary agreement structure, causality and abstractness, the number of real rights clauses, and admissibility. Finally, it examines the implications of the 1985 Hague Convention on the Italian legal system. Particular attention is paid to the concept of internal trust. The analysis focuses on some practical applications of this institution and the operational difficulties it entails.
Il presente lavoro si occupa di indagare i limiti e le possibili linee di evoluzione rispetto al tema della fiducia nell’ordinamento italiano. A tal proposito, si muove da un’introduzione storica dell’istituto, esaminando gli antecedenti di diritto romano e diritto intermedio. In seguito si presta attenzione al tema del negozio fiduciario. Nella sezione dedicata si esaminano, secondo un andamento dialettico, i principali punti critici rilevati dalla dottrina rispetto all'istituto, proponendo alternative e soluzioni. In particolare si affrontano i temi di: sproporzione tra mezzo e scopo, abuso del potere del fiduciario, struttura del negozio fiduciario, causalità e astrattezza, numerus clausus dei diritti reali e ammissibilità. A seguire, si affrontano le conseguenze della Convenzione dell’Aja del 1985 nell’ordinamento italiano. Ci si concentra, in particolare, sulla figura del trust interno. L’analisi si focalizza su alcune applicazioni pratiche di tale istituto e delle difficoltà operative cui dà vita.
