This thesis examines the protection of minority shareholders in corporate merger transactions, a legal institution that represents one of the principal instruments for corporate reorganization while also having the potential to significantly affect the position of shareholders who do not exercise control over the company. The research begins with a systematic analysis of the general legal framework governing mergers, focusing on its legislative evolution, legal nature, procedural structure and legal effects, with the aim of defining the context in which the protection of minority shareholders operates. On this basis, the thesis investigates the interests of minority shareholders that may be adversely affected by a merger transaction and examines the legal remedies provided by the Italian legal system, with particular attention to actions for annulment, compensatory remedies and the right of withdrawal, through an analysis of the relevant statutory provisions, the principal doctrinal approaches and the case law. The purpose of this research is to assess whether the current legal framework provides an effective balance between the need to ensure the efficiency and stability of corporate reorganization transactions and the protection of minority shareholders.

La presente tesi affronta il tema della tutela dei soci di minoranza nelle operazioni di fusione societaria, istituto che rappresenta uno dei principali strumenti di riorganizzazione dell'attività d'impresa e che, al tempo stesso, può incidere in modo significativo sulla posizione dei soci non titolari del controllo della società. La ricerca prende le mosse dalla ricostruzione della disciplina generale della fusione societaria, analizzandone l'evoluzione normativa, la natura giuridica, il procedimento e gli effetti, al fine di delineare il quadro sistematico entro cui si collocano le esigenze di tutela delle posizioni minoritarie. Su tali basi, l'elaborato approfondisce gli interessi suscettibili di essere pregiudicati dall'operazione di fusione e analizza gli strumenti di tutela predisposti dall'ordinamento, con particolare riguardo ai rimedi impugnatori, alla tutela risarcitoria e al diritto di recesso, attraverso l'esame della normativa vigente, dei principali orientamenti dottrinali e della giurisprudenza. L'obiettivo della ricerca è valutare se il sistema di tutele attualmente previsto sia idoneo a garantire un adeguato bilanciamento tra le esigenze di efficienza e stabilità delle operazioni straordinarie e la protezione dei soci di minoranza.

PROTECTION OF MINORITY SHAREHOLDERS IN MERGER TRANSACTIONS
La presente tesi affronta il tema della tutela dei soci di minoranza nelle operazioni di fusione societaria, istituto che rappresenta uno dei principali strumenti di riorganizzazione dell'attività d'impresa e che, al tempo stesso, può incidere in modo significativo sulla posizione dei soci non titolari del controllo della società. La ricerca prende le mosse dalla ricostruzione della disciplina generale della fusione societaria, analizzandone l'evoluzione normativa, la natura giuridica, il procedimento e gli effetti, al fine di delineare il quadro sistematico entro cui si collocano le esigenze di tutela delle posizioni minoritarie. Su tali basi, l'elaborato approfondisce gli interessi suscettibili di essere pregiudicati dall'operazione di fusione e analizza gli strumenti di tutela predisposti dall'ordinamento, con particolare riguardo ai rimedi impugnatori, alla tutela risarcitoria e al diritto di recesso, attraverso l'esame della normativa vigente, dei principali orientamenti dottrinali e della giurisprudenza.
