The Business Judgment Rule (hereinafter BJR) is a regula iuris of Anglo-Saxon origin which entails the judicial review of the incorrect management choices of the directors of joint-stock companies, except for bad faith or unreasonableness. The purpose of this thesis is to understand, through the comparative analysis of the rule in the two legal systems of Common Law and Civil Law, the features common to the two experiences and, as regards the Italian legal system, to hope for a European unitary legislative crystallization that allows to lay the foundations for the creation of a true single market. As far as the contribution of Artificial Intelligence, I am going to examine how it can aspire to make business choices taking advantage from the safe harbour of the BJR.
La Business Judgment Rule (di seguito BJR) è una regula iuris di origine anglosassone che comporta l’insindacabilità giudiziale delle scelte gestorie errate degli amministratori di società di capitali, salvo malafede o irragionevolezza.Scopo di questa tesi è di individuare, attraverso l’analisi comparata della regola nei due sistemi giuridici di Common Law e di Civil Law, i tratti comuni alle due esperienze e, per quanto riguarda l’ordinamento italiano, di auspicare una cristallizzazione legislativa unitaria europea che consenta di porre le basi per la creazione di un vero mercato unico. Si cercherà poi di capire se l’Intelligenza Artificiale, interfacciandosi con le scelte d’impresa degli amministratori di società di capitali, può ambire a beneficiare della protezione della BJR.
