Article 1401 of the civil code concerns "the contract for a person to be appointed". It is a particular form subject to representation and is provided for in Italian law starting from article 1401 et seq., this case offers the right to conclude a contract and a party can reserve the right to subsequently appoint a different person who will purchase the rights and obligations arising from the contract itself. The thesis will examine the regulatory context, the practical implications of this faculty, the limits and the practical situations in which this right can be used. The objective of this study is to determine what are the characteristics that distinguish this article from representation and from the contract on behalf of the person in question; delving into the methods, limits, procedures and conditions. On this basis, the research aims to offer a clearer and simplified understanding of the article and what it represents.
L’articolo 1401 del codice civile riguarda “il contratto per persona da nominare”. E’ una particolare forma assoggettata alla rappresentanza ed è prevista nell’ordinamento italiano a partire dall’articolo 1401 e seguenti, questa fattispecie offre il diritto di poter concludere un contratto e una parte può riservarsi la facoltà di nominare in seguito un soggetto diverso che acquisterà i diritti e gli obblighi nascenti dal contratto stesso. La tesi esaminerà il contesto normativo, le implicazioni pratiche di tale facoltà, i limiti e le situazioni pratiche nelle quali tale diritto possa essere utilizzato. L’obbiettivo di tale studio è quello di determinare quali siano le caratteristiche che distinguono tale articolo dalla rappresentanza e dal contratto per conto di chi spetti; approfondendo le modalità, i limiti, le procedure e le condizioni. Su questa base la ricerca si propone di offrire una comprensione più chiara e semplificata dell’articolo e di quello che rappresenta.
