The thesis aims to analyze the phenomenon of mergers and acquisitions in digital markets, examining their impact on competition and technological innovation. Particular attention is given to the dominant companies in this sector, identified by the acronym GAFAM (Google, Amazon, Facebook, Apple, and Microsoft), which often acquire start-ups operating in sectors where they are highly active, with the goal of neutralizing potential competitors. In this way, Big Tech companies strengthen their dominant position in the market. An emblematic example of these strategies is Google’s acquisition of Waze (a road navigation app), which represents a “killer acquisition,” i.e., an acquisition aimed at suppressing competition, limiting innovation and technological progress. This case underscores the urgency of updating the antitrust regulatory framework, which is necessary to adequately address the challenges posed by digital markets and to protect competition. In conclusion, the thesis examines the recent “Booking/Entraveli” case, which marks a turning point in the oversight of mergers and acquisitions by antitrust authorities, demonstrating how they are beginning to intervene more decisively to prevent anti-competitive practices.
La presente tesi si propone di analizzare il fenomeno delle fusioni e acquisizioni nei mercati digitali, esaminando il loro impatto sulla concorrenza e sull’innovazione tecnologica. Particolare attenzione è dedicata alle aziende dominanti in questo settore, identificate con l’acronimo GAFAM (Google, Amazon, Facebook, Apple e Microsoft), che spesso acquisiscono start-up operanti nei settori in cui sono fortemente attive, con l’obiettivo di neutralizzare i potenziali concorrenti. In questo modo, le Big Tech rafforzano la loro posizione dominante nel mercato. Un esempio emblematico di queste strategie è l’acquisizione di Waze(app di navigazione stradale) da parte di Google, che rappresenta una “killer acqusition”, ovvero un’acquisizione finalizzata a reprimere la concorrenza , limitando l’innovazione e il progresso tecnologico. Questo caso evidenzia l’urgenza di un aggiornamento del quadro normativo antitrust, necessario per affrontare adeguatamente le sfide poste nei mercati digitali e per tutelare la concorrenza. Infine, si esamina il recente caso “Booking/Entraveli”, che segna un punto di svolta nel controllo delle fusioni e acquisizioni da parte delle autorità antitrust , mostrando come queste stiano iniziando a intervenire in modo più deciso per prevenire pratiche contro la concorrenza.
