This paper aims to analyze the main tax aspects related to corporate crisis matters, in light of the recent enactment of the Code of Business Crisis and Insolvency. It addresses the key institutions of the subject, highlighting the reforms and innovations introduced by the new legislation. Throughout the study, various issues and points for reflection on the matter emerge, also offered by recent judicial interpretations. The first chapter is dedicated to judicial liquidation, where the primary innovations introduced by the reform are highlighted, followed by the application of the main applicable taxes. This paper then discusses tax credits, admission of tax credits to the liabilities and restructuring agreements, analyzing the tax settlement and the new "cram down." Particular importance is also given to the corporate restructuring procedures and alternative resolution methods compared to judicial liquidation, which play a significant role in the framework established by the Code. Finally, this paper examines the issue of credit losses, a provision for insolvency proceedings, and the taxation of income from the recovery of bad debts.
L’elaborato si pone come obiettivo l’analisi dei principali profili fiscali connessi alla materia della crisi d’impresa, alla luce della recente entrata in vigore del Codice della crisi d’impresa e dell’insolvenza; vengono quindi trattati i principali istituti della materia, evidenziando le riforme e le novità apportate dal nuovo testo. Emergono nel corso del suddetto studio criticità e spunti di riflessione sulla materia, offerti anche dai recenti orientamenti giurisprudenziali. Il primo capitolo è dedicato alla liquidazione giudiziale, nel quale vengono evidenziate le principali novità apportate dalla riforma e successivamente l’applicazione dei principali tributi previsti. Vengono poi trattati i crediti d’imposta, l’ammissione al passivo dei crediti tributari e gli accordi di ristrutturazione, analizzando la transazione fiscale e il nuovo “cram down”. Particolare importanza viene inoltre data alle procedure di ristrutturazione dell’impresa in crisi e le forme alternative di risoluzione rispetto alla liquidazione giudiziale, i quali assumono grande importanza nell’assetto dettato dal Codice. L’elaborato analizza infine la materia delle perdite su crediti, una previsione contemplata per le procedure concorsuali e la tassazione delle sopravvenienze attive derivate da esse.
