In the field of international accounting, the identification and disclosure of intangible assets, impairment testing and those arising from business combinations represent a crucial aspect for the correct and comprehensive understanding of the financial statements, influencing the evaluation of the company by investors, and the consequent real business situation for stakeholders and capital, as well as national regulatory authorities (e.g. Consob, ESMA). Each Member State of the European Union provides its own rules for the preparation of financial statements, but the current context of globalization has made it necessary to homogenize the drafting principles with a view to harmonization and coordination. In the last two decades, the interest of researchers operating in the economic field has intensified due to the partial and/or total lack of an adequate statement regarding IAS 36, IAS 38 and IFRS 3. Indeed, with regard to previous research, mandatory disclosure is not expressed in company reports in an exhaustive or sufficient manner to allow a correct analysis by stakeholders. The thesis is divided into two distinct but interconnected parts, aimed at combining theoretical analysis with empirical evidence. In the first part, the existing literature on the aforementioned accounting principles will be explored in depth, which will provide a theoretical framework for the subsequent phase of empirical research, which will focus on the analysis of data relating to a more recent period than the one already analyzed. The second part will be entirely focused on the empirical research and study of data obtained from the annual report of thirty-two listed companies and groups, divided into two groups of sixteen entities, the first concerning the manufacturing sector and the second the services sector. Some sectors will also be divided into eight companies listed on the Italian stock exchange, and the remaining listed on other European stock exchanges. The final part also includes the result of the empirical research, with a following explanation of the data collected and a section containing the statistics and variables that influence the quality of disclosure and corporate compliance of the previously selected companies.
Nell’ambito della contabilità internazionale, l’identificazione e la disclosure delle attività immateriali, dell’impairment test e quelle derivanti dall’aggregazione aziendale rappresentano un aspetto cruciale per la corretta ed esaustiva comprensione del bilancio, influenzando la valutazione dell'azienda da parte degli investitori, e la conseguente reale situazione aziendale per i portatori di interessi e di capitale, oltre che alle autorità di regolamentazione nazionale (es. Consob, ESMA). Ogni Stato membro dell’Unione Europea prevede proprie regole per la redazione dei bilanci, ma l’attuale contesto di globalizzazione ha reso necessaria l’omogeneizzazione dei principi di redazione in un’ottica di armonizzazione e coordinamento. Negli ultimi due decenni, l’interesse dei ricercatori operanti nell’ambito economico si è intensificato a causa della parziale e/o totale mancanza di una adeguata dichiarazione riguardante gli IAS 36, IAS 38 e IFRS 3. Effettivamente, con riguardo alle ricerche antecedenti, la disclosure obbligatoria non viene espressa nei report aziendali in maniera esaustiva o sufficiente per permettere una corretta analisi da parte degli stakeholders. La tesi si articola in due parti distinte ma interconnesse, volte a combinare l'analisi teorica con l'evidenza empirica. Nella prima parte verrà approfondita la letteratura già esistente dei principi contabili sopracitati, la quale fornirà un quadro teorico di riferimento per la fase successiva di ricerca empirica, la quale sarà incentrata nell’analisi di dati riguardanti un periodo più recente rispetto a quello già analizzato. La seconda parte sarà interamente incentrata nella ricerca empirica e studio dei dati ricavati dall’annual report di trentadue società e gruppi quotati, suddivisi in due gruppi da sedici entità, il primo riguardante il settore manufatturiero ed il secondo il settore dei servizi. Taluno settore sarà in aggiunta diviso in otto aziende quotate presso la borsa italiana, e le rimanenti quotate nelle ulteriori borse europee. Nella parte finale inoltre è incluso il risultato della ricerca empirica, con una seguente spiegazione dei dati raccolti e una sezione contenente le statistiche e variabili che influenzano la qualità della disclosure e la compliance aziendale delle società selezionate precedentemente.
