The present work proposes to investigate the institution and evolution of the pledge system in Italian law, focusing on the objective profile of this guarantee and on the requirement - closely linked - of the pledge holder’s dispossession. After describing the discipline of the subject matter of the pledge contained in the Civil Code, we will consider the various figures of ‘anomalous’ pledge which, also on the basis of doctrinal reflections, have been introduced over time by practice and special legislature. These changes were instituted to escape the stringent requirements (first and foremost, the aforementioned dispossession) required by the Civil Code, and thus adapt such collateral security to the changing needs of market operators. Subsequently, the non-possessory pledge introduced in Italy in 2016 will be the subject of specific study. The concluding considerations will focus on the floating charge, an institution born in common law and considered by many as the paradigm of modern non-possessory collateral.
Il presente lavoro si propone di indagare l'istituto del pegno, e la sua evoluzione, nell'ordinamento italiano, concentrando l'attenzione sul profilo oggettivo di tale garanzia e sul requisito - strettamente collegato - dello spossessamento del costituente la stessa. Dopo avere descritto la disciplina dell'oggetto del pegno contenuta nel codice civile, si passerà a considerare le varie figure di pegno "anomalo" che, anche sulla scorta delle riflessioni dottrinali elaborate in proposito, la prassi e il legislatore speciale hanno introdotto nel corso del tempo, allo scopo di sfuggire agli stringenti requisiti (in primo luogo, il citato spossessamento) richiesti dal codice civile e adeguare così tale garanzia reale alle mutate esigenze degli operatori del mercato. Successivamente sarà oggetto di specifico studio il pegno non possessorio introdotto in Italia nel 2016; infine, alcune considerazioni conclusive verranno dedicate alla floating charge, istituto nato nella common law e da molti considerato come il paradigma delle moderne garanzie reali non possessorie.
