The role of the shareholder-director of a limited liability company (SRL) occupies a peculiar position in the Italian legal and social security system. This figure is characterised by an ambiguity that reflects its dual nature: entrepreneur and worker at the same time. The thesis analyses the implications of this dual status, focusing on the issues arising from the social security and contributory classification of the shareholder-director. Following a regulatory and case law framework, the thesis examines the different interpretations adopted by the INPS and the courts, highlighting the practical consequences in terms of contribution obligations and social security protections. The study also focuses on the critical issues that arise in cases where management activities overlap with work performance, as well as on the application difficulties and uncertainties faced by labour consultants, businesses, and legal professionals.
La figura del socio amministratore di società a responsabilità limitata (SRL) occupa un ruolo peculiare nel sistema giuridico e previdenziale italiano. E' caratterizzato, infatti, da un’ambiguità che riflette la duplice natura di tale soggetto: imprenditore e lavoratore al tempo stesso. La tesi analizza le implicazioni di questa doppia veste, soffermandosi sulle problematiche derivanti dall’inquadramento previdenziale e contributivo del socio amministratore. Dopo un inquadramento normativo e giurisprudenziale, vengono studiate le diverse interpretazioni adottate dall’INPS e dalla giurisprudenza, evidenziando i riflessi pratici in termini di obblighi contributivi e tutele previdenziali. La tesi si sofferma inoltre sulle criticità che emergono nei casi di sovrapposizione tra attività di gestione e prestazione lavorativa, nonché sulle difficoltà applicative e sui margini di incertezza per consulenti del lavoro, imprese e operatori del diritto.
