The purpose of this dissertation is to analyse the damages resulting from a breach of a preliminary contract, starting by introducing a general perspective of the preliminary contract, then proceeding by analysiing its notion and function set forth in Art. 1351 of the Italian Civil Code, and eventually dwelling on the definition of breach and its subsequent consequences. The central part of the dissertation emphasizes the damages resulting from a breach of the preliminary contract. Finally, the last part of the study examines the jurisprudential analysis of legitimacy, which has contributed to the current Italian legal framework. The final objective of the thesis is thus to provide a general overview on the subject, touching not only on the theoretical part but also on the practical part of the discipline. In this sense, the matter is addressed within judicial proceedings, thus demonstrating that damages resulting from a break of the preliminary contract is not merely an economic issue, but a fundamental element that touches on important issues such as good faith, fairness and the protection of legitimate trust.
La presente tesi si propone di analizzare il risarcimento del danno derivante dall’inadempimento del contratto preliminare. Inizia introducendo una prospettiva generale del contratto preliminare, passando per la sua nozione e funzione riposta nel art. 1351 c.c., per poi soffermarsi sulla definizione di inadempimento e le successive conseguenze. La parte centrale dell’elaborato è dedicata al risarcimento dei danni da inadempimento del preliminare. Infine, l’ultima parte dello studio si concentra sull’analisi della giurisprudenza di legittimità, che ha contribuito all’attuale quadro normativo italiano. L’obiettivo finale della tesi è dunque di fornire una panoramica generale sull’argomento, andando a toccare, oltre alla parte teorica, anche la parte pratica della disciplina. In tal senso si tratta la disciplina in sede giudiziale, dimostrando così che il danno da inadempimento del contratto preliminare non è solamente una mera questione economica, bensì un elemento fondamentale che tocca questioni importanti come la buona fede, la correttezza e la tutela della fiducia legittima.
