The paper provides an in-depth investigation of the crime of market manipulation. Moving from a reconstruction of the historical evolution of the crime of stock market manipulation, from Ancient Roman era, up to European codifications, the paper subsequently analyses EU legislation on market abuse, and its implementation within the Italian legal system. The following chapter is dedicated to a wide analysis of action based manipulation, through the description of the punishable behaviors, the comparison with EU directives, the tools for the recognition of irregularities, and finally the challenges presented by the spreading of algorithmic trading. The last chapter delves into the sanctioning system, analyzed starting from the protection provided by EU sources, then it outlines the Italian regulatory framework, characterized by the double sanctioning system, administrative and criminal. The paper ends with an analysis of ne bis in idem theme, moving from the most relevant trials from the international courts, and the subsequent national jurisprudence. Then, in consideration of the emerging framework, it highlights the critical issues of the current national legislation and it reconstructs the solutions proposed, in legal doctrine and jurisprudence, to harmonize the Italian system with community guidelines.
L’elaborato propone un’approfondita indagine del reato di manipolazione del mercato. Muovendo da una ricostruzione dell’evoluzione storica del delitto di aggiotaggio, a partire dall’epoca romana, fino ad arrivare alle codificazioni europee, l’elaborato successivamente analizza la normativa comunitaria in materia di abusi di mercato, e il recepimento della stessa all’interno dell’ordinamento italiano. Il capitolo seguente è dedicato all’analisi approfondita della fattispecie di manipolazione operativa del mercato, attraverso la descrizione delle condotte punibili, il raffronto con le direttive comunitarie, gli strumenti di emersione delle irregolarità, e infine le sfide presentate, in tema, dalla diffusione del trading algoritmico. L’ultimo capitolo si addentra nell’ambito del sistema sanzionatorio, trattato a partire dalla tutela prevista dalle fonti comunitarie, per poi delineare il quadro normativo italiano, caratterizzato dal doppio binario sanzionatorio, amministrativo e penale. L’elaborato si conclude con l’analisi del tema del ne bis in idem, presentato attraverso le più rilevanti sentenze delle corti internazionali, e la giurisprudenza nazionale successiva ad essa, per poi, alla luce del quadro emerso, evidenziare le criticità della disciplina corrente e ricostruire le soluzioni proposte, in dottrina e in giurisprudenza, per armonizzare il sistema italiano con gli orientamenti comunitari.
