The thesis analyses Directive (EU) 2019/2121, implemented in Italy through Legislative Decree No. 19 of 2 March 2023, placing an initial focus on the evolution of the right of establishment and the previous regulation of cross-border extraordinary operations, specifically the rules concerning company transformations. The thesis is dedicated to examining the innovations introduced by the Directive at both European and national levels, with particular attention to the legal, procedural, and practical aspects of such transformations, including controversial issues and competition between legal systems. It aims to highlight how European law is moving towards greater harmonization of company law within the European Union.
La tesi analizza la Direttiva (UE) 2019/2121, attuata in Italia con il D.Lgs. 2 marzo 2023, n. 19. Viene posto un iniziale focus sull’evoluzione del diritto di stabilimento e sulla previgente disciplina delle operazioni straordinarie transfrontaliere, nello specifico la normativa sulle trasformazioni societarie. Il testo è dedicata all’analisi delle novità introdotte dalla Direttiva, sia a livello europeo sia nazionale, con particolare attenzione agli aspetti giuridici, procedurali ed applicativi delle trasformazioni, considerando profili controversi e concorrenza tra ordinamenti. L’elaborato intende evidenziare come il diritto europeo tenda verso una maggiore armonizzazione del diritto societario nell’Unione europea.
